Clozee is operated by AgentsData AI, LLC ("Company," "we," "us," or "our"). Clozee is a product name and software platform offered by the Company.

2. Description of the Service

Clozee is an AI-powered assistant platform designed to help real estate professionals automate workflows, retrieve information, and perform actions within third-party systems that the user already owns, licenses, or has authorized access to.

These systems may include, but are not limited to:

• Electronic signature platforms
• Real estate transaction management platforms
• Scheduling and calendar tools
• Email and messaging services
• Property and listing data sources

3. AI Assistant & Delegated Authority

By using Clozee, you expressly authorize the Service to:

• Act on your behalf within connected third-party services
• Retrieve, process, and transmit data you are authorized to access
• Execute actions you approve (such as sending documents, scheduling tasks, or drafting communications)

You acknowledge and agree that:

• Clozee operates based on user-provided instructions and permissions
• You are responsible for reviewing and approving actions taken through the Service
• You may revoke permissions or disconnect integrations at any time

Clozee does not exercise independent professional judgment and does not replace licensed or human decision-making.

4. Third-Party Services & Integrations

Clozee integrates with third-party platforms ("Third-Party Services"). Your use of those services is governed by their own terms, licenses, and agreements.

Clozee:

• Stores only minimal metadata required for execution and auditing
• Does not store signed documents, full MLS listings, or restricted proprietary data
• Relies on user-authenticated access to Third-Party Services

We are not responsible for:

• Changes, outages, or restrictions imposed by Third-Party Services
• The accuracy or completeness of third-party data
• Enforcement of third-party terms or licenses

5. Property & Data Sources

Property, listing, and transaction information may originate from:

• User-connected third-party services
• Licensed or contractual data providers
• Public or governmental records
• Enrichment services operated by the Company

Clozee does not guarantee the accuracy, completeness, or timeliness of property data and should not be relied upon as a sole source of truth.

6. User Responsibilities

You agree that you will:

• Use Clozee only for lawful purposes
• Comply with MLS rules, brokerage agreements, and data licenses applicable to you
• Not use Clozee to scrape, resell, or redistribute restricted data
• Safeguard your account credentials

You remain solely responsible for ensuring your use of the Service complies with all professional, contractual, and regulatory obligations.

7. Audit Logs & Compliance

Clozee maintains internal audit logs to support security, compliance, and operational integrity.

Audit logs:

• Record actions and events (not full documents or restricted data)
• Help demonstrate authorization and consent
• May be retained as required by law or legitimate business needs

8. Intellectual Property

All software, trademarks, logos, and content provided by Clozee are owned by AgentsData AI, LLC or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Service while these Terms remain in effect.

9. Termination

You may discontinue use of the Service at any time.

We may suspend or terminate access if:

• You violate these Terms
• Continued use creates legal, security, or compliance risk

Upon termination, certain data (including audit logs) may be retained as required by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Clozee does not guarantee that AI-assisted or automated actions will be error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AgentsData AI, LLC shall not be liable for indirect, incidental, consequential, or special damages, including loss of data, profits, or business opportunities.
• Total liability shall not exceed the amounts paid by you to the Company in the twelve months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
